The rules that govern your access to and use of Paeflow's website, web app, mobile apps, APIs, and related services.

These Terms govern your use of Paeflow. Using the app, creating a Business Profile, or generating an invoice means you've agreed to them. Use the contents panel to jump to any section.

Introduction

Welcome to Paeflow.

These Terms and Conditions ("Terms") govern access to and use of the Paeflow platform, including its website, web application, mobile applications, APIs, business tools, financial management services, analytics services, artificial intelligence features, integrations, communications channels, and related services (collectively referred to as the "Platform").

Paeflow is owned and operated by SmartIV Hauz Ltd, a company incorporated under the laws of the Federal Republic of Nigeria.

By registering for, accessing, or using Paeflow, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Definitions

For purposes of these Terms:

"Paeflow" — Means the Paeflow platform and all related products, services, systems, applications, and infrastructure operated by SmartIV Hauz Ltd.

"User" — Means any individual, creator, entrepreneur, freelancer, business owner, representative, organization, or entity accessing or using the Platform.

"Business Profile" — Means a business account created under a User Account for the purpose of managing financial records, invoices, transactions, customers, team members, analytics, and related activities.

"Account" — Means a registered Paeflow user profile through which the Platform is accessed.

"Subscription Plan" — Means any paid or free service plan offered by Paeflow.

"Payment Partner" — Means any licensed payment service provider integrated with Paeflow, including but not limited to payment gateways, payment processors, settlement providers, and related financial service providers.

"AI Services" — Means automated systems, artificial intelligence features, machine learning tools, forecasting engines, recommendation systems, automated analytics, and related technologies available through the Platform.

Eligibility

To use Paeflow, you represent and warrant that:

  • You possess the legal capacity to enter into binding agreements
  • Information provided to Paeflow is accurate and complete
  • You will maintain accurate records
  • You are authorized to act on behalf of any business or organization you represent

Paeflow reserves the right to refuse registration or access where eligibility requirements are not satisfied.

Account Registration

To access certain services, users must create an account. Users agree to:

  • Provide accurate information
  • Maintain current information
  • Protect login credentials
  • Restrict unauthorized access
  • Notify Paeflow of suspected account compromise

Users are responsible for all activities occurring under their accounts unless caused by Paeflow's proven negligence or misconduct.

Business Profile Structure

Paeflow allows users to maintain one or more Business Profiles. Each Business Profile may contain:

  • Financial records
  • Customer records
  • Transactions
  • Invoices
  • Reports
  • Analytics
  • Team members
  • Verification documents

Certain subscription plans may restrict:

  • Number of Business Profiles
  • Number of users
  • Storage limits
  • Analytics features
  • AI features
  • Premium services

Paeflow may modify subscription limits from time to time.

Services Provided

Paeflow may provide services including:

  • Invoice creation and management
  • Payment collection tools
  • Payment link generation
  • Customer management tools
  • Financial dashboards
  • Revenue analytics
  • Expense tracking
  • Business intelligence services
  • Financial statement generation
  • Audit preparation tools
  • Reporting tools
  • Artificial intelligence features
  • Business automation tools
  • Team collaboration tools
  • Future integrations and enhancements

Services may evolve over time and certain features may be introduced, modified, suspended, or discontinued.

Payment Processing Disclaimer

Paeflow is a financial technology platform. Unless expressly stated otherwise, Paeflow is not:

  • A bank
  • A deposit-taking institution
  • A licensed money transfer operator
  • A payment switch
  • A wallet issuer
  • A financial adviser
  • An investment adviser

Payment processing services are provided by licensed third-party Payment Partners. Users acknowledge that:

  • Payment transactions may be subject to the terms of Payment Partners
  • Settlement timelines may depend on Payment Partners
  • Transaction failures may occur due to external factors
  • Third-party service interruptions may affect payment processing

Paeflow shall not be responsible for actions, omissions, delays, or failures attributable to third-party Payment Partners.

Fees, Charges, and Subscriptions

8.1 Subscription Fees — Certain Platform features require payment of subscription fees. Subscription plans may include:

  • Monthly plans
  • Annual plans
  • Enterprise plans
  • Usage-based plans
  • Custom plans

Fees may change upon reasonable notice.

8.2 Premium Services — Additional fees may apply to premium services including:

  • Financial statement generation
  • Audit reports
  • Advanced analytics
  • AI-powered insights
  • Business intelligence reports
  • Specialized integrations
  • Enterprise features

Fees applicable to premium services shall be disclosed before purchase.

8.3 Transaction-Related Charges — Users acknowledge that Paeflow may charge service fees in connection with transactions conducted through the Platform. Such fees may include:

  • Platform service fees
  • Maintenance fees
  • Processing fees
  • Withdrawal-related fees
  • Settlement-related fees
  • Convenience fees

Such fees may be charged in addition to fees imposed by Payment Partners. Applicable fees may be:

  • Added to transaction amounts
  • Deducted from settlements
  • Charged separately
  • Collected through subscription arrangements

Paeflow will endeavor to disclose applicable fees before they are incurred.

8.4 Taxes — Users are responsible for applicable taxes associated with their use of the Platform unless otherwise required by law.

KYC, Verification, and Compliance

To maintain platform integrity and comply with applicable laws, Paeflow may require users to provide verification information. Information requested may include:

  • National Identification Number (NIN)
  • Government-issued identification
  • CAC registration documents
  • Utility bills
  • Tax information
  • Business ownership information
  • Director information
  • Proof of address
  • Additional documentation reasonably required for verification

Paeflow reserves the right to:

  • Restrict access
  • Suspend functionality
  • Reject transactions
  • Decline account creation
  • Terminate accounts

where required verification information is unavailable, inaccurate, fraudulent, or incomplete.

Acceptable Use Policy

Users shall not:

  • Use the Platform unlawfully
  • Engage in fraudulent activities
  • Submit false information
  • Upload malicious software
  • Attempt unauthorized access
  • Interfere with platform operations
  • Violate intellectual property rights
  • Engage in money laundering activities
  • Conduct prohibited financial activities
  • Circumvent security controls

Paeflow may investigate suspected violations and take appropriate action.

AI Services and Automated Features

Paeflow may provide AI Services designed to assist users with:

  • Financial summaries
  • Reporting
  • Forecasting
  • Expense categorization
  • Business insights
  • Recommendations
  • Analytics
  • Automation

Users acknowledge that:

  • AI outputs may contain inaccuracies
  • AI outputs may be incomplete
  • AI outputs may not reflect all relevant information
  • Results should be independently verified where necessary

AI-generated outputs are provided solely for informational and operational purposes. They do not constitute:

  • Accounting advice
  • Tax advice
  • Legal advice
  • Financial advice
  • Investment advice

Users remain solely responsible for decisions made using information provided through the Platform.

Intellectual Property Rights

All rights, title, and interest in and to the Platform remain the exclusive property of SmartIV Hauz Ltd and its licensors. This includes, without limitation:

  • Software code
  • Source code
  • Databases
  • APIs
  • User interfaces
  • Visual designs
  • Logos
  • Trademarks
  • Trade names
  • Business methods
  • Documentation
  • Reports
  • AI systems
  • Algorithms
  • Workflows
  • Platform content

Nothing in these Terms transfers ownership of any intellectual property rights to Users. Subject to compliance with these Terms, Paeflow grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.

Users shall not:

  • Reverse engineer the Platform
  • Decompile software
  • Copy proprietary functionality
  • Republish Platform content without authorization
  • Build competing products using confidential information obtained through the Platform

User Data Ownership

Users retain ownership of:

  • Business information
  • Customer information
  • Financial records
  • Uploaded documents
  • Invoices
  • Reports generated from their own data
  • Content uploaded through the Platform

However, Users grant Paeflow a worldwide, non-exclusive, royalty-free license to:

  • Store information
  • Process information
  • Analyze information
  • Display information
  • Transmit information
  • Use information as necessary to provide Platform services

This license remains effective for as long as necessary to operate the Platform and comply with legal obligations.

Aggregated and Anonymized Data

Paeflow may generate aggregated, anonymized, statistical, and non-identifiable information derived from Platform usage. Such information may be used for:

  • Platform improvements
  • Product development
  • Analytics
  • Benchmarking
  • Security monitoring
  • Research
  • Artificial intelligence enhancement
  • Marketing materials

Such information will not reasonably identify individual Users or Businesses. Ownership of aggregated and anonymized information remains with Paeflow.

Team Access and Permissions

Business Profile owners may invite team members to access designated Business Profiles. Account owners are responsible for:

  • Managing permissions
  • Monitoring access
  • Removing unauthorized users
  • Maintaining security controls within their organizations

Paeflow is not responsible for actions taken by authorized users operating within permissions granted by the account owner.

Account Suspension and Restriction

Paeflow reserves the right to suspend, restrict, limit, or temporarily disable access to all or part of the Platform where reasonably necessary. Circumstances may include:

  • Fraudulent activity
  • Security concerns
  • Violation of these Terms
  • Regulatory requirements
  • KYC deficiencies
  • Non-payment of fees
  • Platform abuse
  • Unauthorized access attempts
  • Suspicious transactions
  • Legal obligations

Where practicable, Paeflow may provide notice before imposing restrictions. However, immediate action may be taken where necessary to protect Users, third parties, or the Platform.

Termination

Users may terminate their accounts at any time by following applicable account closure procedures. Paeflow may terminate accounts where:

  • These Terms are violated
  • Fraud is detected
  • Required verification cannot be completed
  • Legal or regulatory requirements demand termination
  • Platform misuse occurs
  • Continued access poses security or legal risks

Termination does not relieve Users of obligations accrued prior to termination.

Service Availability

Paeflow strives to maintain reliable service availability. However, Users acknowledge that interruptions may occur due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Internet outages
  • Third-party service failures
  • Payment partner failures
  • Telecommunications issues
  • Security incidents
  • Force majeure events

Paeflow does not guarantee uninterrupted or error-free operation of the Platform.

Third-Party Services and Integrations

The Platform may integrate with third-party providers including:

  • Payment gateways
  • Identity verification providers
  • Analytics providers
  • Cloud service providers
  • Messaging providers
  • AI service providers
  • Accounting systems
  • Banking APIs
  • Financial service providers

Paeflow is not responsible for:

  • Third-party systems
  • Third-party service availability
  • Third-party errors
  • Third-party policies
  • Third-party security practices

Users may be subject to additional terms imposed by such providers.

Disclaimers

The Platform is provided on an "as available" and "as is" basis. To the fullest extent permitted by applicable law, Paeflow disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability
  • Accuracy
  • Reliability
  • Suitability

Paeflow does not warrant that:

  • The Platform will be uninterrupted
  • The Platform will be error-free
  • Results will always be accurate
  • AI-generated outputs will always be correct
  • Services will meet every User requirement

Limitation of Liability

To the maximum extent permitted by law, SmartIV Hauz Ltd, its directors, officers, employees, contractors, affiliates, and agents shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Special damages
  • Punitive damages
  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of data
  • Business interruption

This limitation applies regardless of the legal theory asserted.

Liability Cap — To the maximum extent permitted by law, Paeflow's aggregate liability arising from or relating to the Platform shall not exceed the total fees paid by the User to Paeflow during the twelve (12) months preceding the event giving rise to the claim.

If no fees were paid, liability shall be limited to the minimum amount permitted under applicable law.

Indemnification

Users agree to indemnify, defend, and hold harmless SmartIV Hauz Ltd and its affiliates from any claims, losses, damages, liabilities, costs, or expenses arising from:

  • Violation of these Terms
  • Misuse of the Platform
  • Fraudulent activity
  • Violation of law
  • Violation of third-party rights
  • Content submitted by the User
  • Unauthorized business activities

This obligation survives termination of the account.

Force Majeure

Paeflow shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • Epidemics
  • Pandemics
  • Government actions
  • Civil unrest
  • Terrorist acts
  • War
  • Telecommunications failures
  • Internet outages
  • Utility disruptions
  • Cyberattacks beyond reasonable control

Performance obligations shall be suspended during such events.

Dispute Resolution

The parties shall first attempt to resolve disputes amicably through good-faith negotiations. If a dispute cannot be resolved through negotiation, the parties may attempt mediation before initiating formal proceedings.

Nothing in this section prevents either party from seeking urgent injunctive relief where necessary.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Users accessing the Platform from outside Nigeria acknowledge that local laws may also apply to their activities.

Electronic Communications

Users consent to receive communications electronically, including through:

  • Email
  • SMS
  • WhatsApp
  • In-app notifications
  • Website notices
  • Push notifications

Electronic communications satisfy any legal requirement that communications be in writing.

Changes to These Terms

Paeflow may amend these Terms from time to time. Reasons may include:

  • Legal changes
  • Regulatory developments
  • Product enhancements
  • New services
  • Security requirements
  • Operational improvements

Updated Terms will become effective upon publication unless otherwise stated. Continued use of the Platform constitutes acceptance of revised Terms.

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure by Paeflow to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Entire Agreement

These Terms, together with the Privacy Policy and any supplemental policies incorporated by reference, constitute the entire agreement between Users and Paeflow regarding use of the Platform. They supersede all prior understandings, communications, and agreements relating to the subject matter.

Acceptance of Terms

By creating an account, accessing the Platform, subscribing to services, creating a Business Profile, using AI Services, generating invoices, initiating transactions, or otherwise using Paeflow, Users acknowledge that they have read, understood, and agreed to these Terms and Conditions.
